At the 2012 NADA Show in Las Vegas on February 4-6, 2012, DealerTrack will have a 2012 Anniversary Edition/Harley-Davidson V-Rod motorcycle on display, and will be raffling off the motorcycle shortly after the close of the event.  Below are the official rules and details for the sweepstakes/promotion.  No purchase is necessary and the Sweepstakes is void where prohibited.  Making a purchase will not enhance your chances of winning.  This is a commercial sweepstakes not open to the general public.  Contest ends February 6, 2012.

1)  One Grand Prize:  One 2012 Anniversary Edition, Harley-Davidson V-Rod motorcycle (specifications to be designated by DealerTrack in its sole discretion).  Approximate Retail Value: $18,915.00 U.S. dollars.

2)  Entries:
The Sweepstakes is open only to automotive dealership owners or employees who attend the NADA Show in Las Vegas, Nevada, on February 4 -6, 2012 and who are authorized by their dealerships to purchase for the dealership (“eligible entrants”) one or more of the DealerTrack Dealer Solutions products listed on the attached Exhibit to these Rules  (individually and collectively “DealerTrack Dealer Solutions”)  Odds of winning depend on the number of eligible entries received.  Eligible entrants must be residents of the 50 U.S. states, the District of Columbia, or any Canadian province and be at least 21 years of age as of February 6, 2012 or, in respect of Canadian residents, have reached the age of majority in his/her respective province if older than 21.

There are four ways to enter the sweepstakes:

1. Eligible entrants who attend the NADA Show, are authorized by their dealers to make purchasing decisions for the specific DealerTrack product demonstrated, and both sign-up and complete a full demonstration of one or more of DealerTrack Dealer Solutions (demos will take approximately 30-45 minutes or longer, and only one demo credit per solution set is possible) will receive at least one entry when they complete the demonstration.  All DealerTrack Dealer Solution Sets will earn one entry except as follows: 

• DMS Demonstration – 4 Entries
• Inventory Demonstration –2 Entries

Except for these two products, one entry will be given to an eligible entrant for each DealerTrack Dealer Solution Set that they complete demos in. For example, if a dealer sits for both a DealerTrack DMS Solution Set demo and Inventory Solution Set demo, they will receive four entries for the DMS demo and two entries for the Inventory demo in the sweepstakes; if the eligible entrant participates in a Sales/F&I Solution Set demo, they will receive one entry.  See the accompanying Exhibit for a list of DealerTrack Dealer Solution Sets and each set’s products that will be demonstrated at the NADA show.

2.  If an eligible entrant purchases a DealerTrack Dealer Solutions product at the NADA Show for their dealership, the eligible entrant will receive two additional entries per product (regardless of Solution Set) into the sweepstakes. However, purchases of the following products for the dealership will generate the number of additional entries as follows:

• DMS Purchase – 10 Additional Entries
• Inventory Purchase – 5 Additional Entries

3. If an eligible entrant downloads the DealerTrack Mobile app to their iPhone or iPad with the assistance of a DealerTrack representative in the DealerTrack booth at the NADA show, the eligible entrant will receive two entries in the sweepstakes.
4. To enter without attending a demonstration, eligible entrants may enter by hand printing their name, dealership, title dealership addresss, their current dealership DMS provider and the termination date of such DMS provider contract (including any renewal terms) on a 3 x 5 card and mailing the card in a letter size envelope with sufficient postage to: DealerTrack NADA Sweepstakes, ATTN: Michael DeMeo, DealerTrack, Inc., 1111 Marcus Ave –Suite M04, Lake Success, NY  11042.  Eligible entrants may enter by mail as often as they wish but only one entry per completed form and outer envelope is permitted.  All mail-in entries must be received by the Sponsor at the above address by 3pm EST on February 6, 2012.

3)  Entry Collection at NADA Show:
Prior to the NADA Show, dealer attendees will register for a demo via a secure website, www.dealertrack.com/nada  or attendees can register/sign-up for a demo at the DealerTrack booth during show hours.

A physical entry form will then be distributed to and completed by the dealer attendee at the completion of each demo.  The completed entry form will be given into the DealerTrack Booth Reception area by the DealerTrack demonstrator.

Entries will be collected beginning at the opening of the NADA hall on February 4, 2012, and continuing through 12 noon, PST, on February 6, 2012. A prospective winner will be selected on or about February 8, 2012 from all eligible entries received, including eligible entries received by mail.  If the prospective winner resides in Canada, he or she will be required to correctly answer without assistance of any kind, whether mechanical or otherwise, a time-limited mathematical skill testing question to be administered by mail or by telephone before the awarding of the prize in order to win.   

4)  Delivery of Grand Prize.  The new V-Rod (the exact model/bike that is on the show floor) will be delivered to the winner at their desired U.S. or Canadian location within 60 days of the completion of the sweepstakes provided the winner signs an eligibility affidavit and liability release and provides information for tax filings; provides proof that the prospective winner is licensed to drive a motorcycle or will obtain such a license prior to accepting the prize and is responsible for all license, registration, title, insurance, accessorizing, cross-border fees, and other costs to register, own and operate the vehicle; and subject to the approval of the dealership and any dealer parent group for the prospective winner to receive the Grand Prize.  The motorcycle will not be given to the prospective winner at the show.  If the prospective winner is a Canadian resident, he or she acknowledges that sweepstakes prizes are subject to tax in the U.S. and that he or she may be required to file a U.S. tax return.  Any tax liability shall be the sole responsibility of the winner.

5) Limitations of Liability: Each entrant for themselves and their dealership agrees to release, discharge, indemnify and hold harmless DealerTrack, Inc., its affiliates, subsidiaries, advertising and promotion agencies, and all of their respective employees, directors, officers, board members and agents (collectively, “Releasees”) from any and all claims or liability in connection with participation in this Sweepstakes or the acceptance, use or misuse of the Grand Prize including, without limitation, any activity related thereto that results in personal injury or physical damage to any person or entity. 

6) IMPORTANT NOTICE:  Certain dealership groups may prohibit or restrict the ability of individual dealerships to participate in the Sweepstakes or to accept prizes.  In such event, at Sponsor’s discretion, the prize may be awarded to the dealership group and these Official Rules will apply to the dealership group, or Sponsor may select an alternative winner in a random drawing of the remaining eligible entries in accordance with these Official Rules.  In no event will any dealership or individual have any claim against Sponsor for providing the prize to the dealership group or its designated representative, or failing to award the prize to the dealership.  To verify compliance with the rules and policies of dealership groups, Sponsor may first notify the dealership group contact on file with Sponsor concerning the selection of a member dealership as a potential winner and, only after verifying the dealership group’s consent for the selected dealership to accept the prize, will Sponsor notify the dealership and its individuals as the dealership being the potential winner. 

7) Prize Restrictions and Requirements: Prize is non-transferable, no substitutions or cash equivalents allowed, except at the discretion of the Sponsor. Taxes, and all other expenses not specified herein, if any, are the sole responsibility of the winner.  Should a potential winner be ineligible or decide to decline the prize for any reason whatsoever, Sponsor will have no further obligation to that potential winner, and an alternate potential winner will be selected from the remaining eligible entrants, if any.  If no eligible entrants remain, the prize will not be awarded and Sponsor will have no further obligations or liability.  By entering this Sweepstakes, entrants grant permission for DealerTrack, Inc., to contact them, their dealership group, and their dealership with relevant information and to store, share and use the personal information submitted by the entrant for the purposes of administering this sweepstakes and for the purposes set out herein.  All entries become the property of the Sponsor and will not be acknowledged or returned.  Sponsor shall not be liable nor accountable for any illegible, incomplete or misdirected entries.  Any entry that has been tampered with or altered is void.  No other method of entry will be available.  By entering, entrants (the dealership and its representatives who enter the Sweepstakes for their dealership) agree to be bound by these rules and consent to the use by Sponsor and its designees of their names dealership names, and/or photographs for advertising or publicity purposes without further consideration, except where prohibited by law.

8) Cancellation: If for any reason the NADA Show is cancelled or postponed, or if this Sweepstakes is not capable of being conducted as planned due to tampering, unauthorized intervention, fraud, act of God, or any other cause(s) beyond the control of the Sponsor which corrupts or affects the administration, security, fairness, integrity or proper conduct of this Sweepstakes, the Sponsor reserves the right at its sole discretion, to disqualify any dealerships whose representative(s) Sponsor determines in its sole discretion to have tampered with or maligned the entry process, and Sponsor may cancel, terminate, modify or suspend the Sweepstakes without obligation to any person or entity.  Should this Sweepstakes be terminated, at DealerTrack’s option, the Grand Prize will be forfeited and not awarded.

9) Who Won: To obtain the winner’s’ names, mail a self-addressed stamped envelope by 4/17/2012 to: ATTN: Michael DeMeo, DealerTrack Inc., 1111 Marcus Ave. – Suite M04, Lake Success, NY 11042.
